Driver Agreement

SOE Rides is the rideshare and transportation services division of Stressed Out Entertainment LLC. The Company contracts with independent drivers to provide transportation-related services in accordance with applicable local, state, and federal laws.

Driver acknowledges and agrees that Driver is an independent contractor and not an employee, partner, joint venture partner, or agent of Company. Driver is solely responsible for:

• Personal taxes
• Insurance coverage
• Licenses and permits
• Vehicle operation and maintenance
• Compliance with rideshare platform requirements
• Fuel, tolls, and operating expenses unless otherwise agreed in writing

Nothing in this Agreement creates an employer-employee relationship.

Driver must:

• Maintain a valid driver’s license
• Maintain legal authorization to operate rideshare services
• Pass all required background checks and screenings
• Maintain acceptable driving history and motor vehicle records
• Maintain all rideshare eligibility standards required by SOE Rides and any affiliated transportation platforms or networks

Driver agrees to immediately notify Company of license suspension, criminal charges, insurance cancellation, accidents involving commercial driving activity, or any event affecting Driver eligibility.

Driver shall operate using Driver’s own approved rideshare/operator account credentials where applicable. Driver may not share accounts, use another driver’s credentials, or permit unauthorized individuals to operate under Driver identity. All driver accounts must remain in good standing.

Driver agrees to maintain valid personal automobile insurance, any required rideshare or transportation endorsements, current vehicle registration, and continuous legal insurance coverage required by Maryland and other applicable jurisdictions.

Driver understands that personal automobile insurance policies may exclude coverage for commercial transportation activities without proper rideshare endorsements or commercial coverage. Driver is solely responsible for maintaining legally compliant insurance at all times.

SOE Rides and/or Stressed Out Entertainment LLC may maintain certain commercial business liability coverages, hired and non-owned auto coverage, or other operational insurance protections for Company purposes. Company insurance does not replace Driver’s personal legal responsibility to maintain required insurance coverage.

Driver agrees to maintain vehicles in safe operating condition, comply with all vehicle inspection requirements, keep vehicles clean and professional, and follow all transportation safety laws and regulations. Vehicles may be subject to periodic Company inspection and approval.

Driver agrees to operate safely and professionally, avoid reckless or impaired driving, treat passengers respectfully, follow all transportation regulations, and avoid illegal conduct while performing transportation services.

Driver controls work schedule, availability, acceptance or rejection of ride opportunities, and operating hours. Company does not guarantee ride volume, passenger requests, or income.

Driver understands and agrees that Driver is not entitled to workers compensation benefits, unemployment benefits, health insurance, paid leave, retirement benefits, or employment tax withholding.

Driver agrees to indemnify and hold harmless Stressed Out Entertainment LLC, SOE Rides, affiliates, managers, and representatives from claims, damages, liabilities, or expenses arising from Driver negligence, traffic violations, insurance lapses, unauthorized conduct, criminal activity, breach of this Agreement, or failure to maintain eligibility standards.

Either party may terminate this Agreement at any time with written notice. Company may immediately terminate this Agreement for unsafe driving, insurance lapse, license suspension, criminal conduct, fraud, violation of Company policies, or failure to maintain eligibility standards.

This Agreement shall be governed under the laws of the State of Maryland.
